Morgan Stanley will, under a separate agreement with the company, buy back shares on behalf of Lundbeck and make trading decisions in respect of Lundbeck shares independently of and without influence from Lundbeck as to the timing of the purchases, and will carry through the buyback within the time schedule set out for the programme. Lundbeck has previously announced that it is entitled to terminate the share buyback programme at any time as a consequence of changes to the companys financial position or changes in the market, including acquisition or inlicensing opportunities. Financial targets for 2007 Lundbecks financial target for 2007 is an EBIT margin of 25% excluding a potential milestone payment of USD 75 million from Merck in connection with the filing of a registration application in the USA for gaboxadol for the treatment of sleep disorders. Uncertainties in respect of the financial forecasts for 2006 and targets for 2007 In the USA, Lundbeck and its business partner Forest Laboratories, Inc. and its wholly owned subsidiary Forest Laboratories Holdings Limited are parties to a case involving escitalopram patent infringement. In 2005, a settlement was reached with Alphapharm Pty Ltd., which is no longer involved in the case. The case continues against IVAX Pharmaceuticals Inc. now owned by Teva and Cipla Ltd. A positive outcome of the upcoming trial between Forest/Lundbeck and IVAX Pharmaceuticals, Inc./Cipla Ltd. concerning escitalopram patent infringement is the most significant prerequisite for Lundbeck to fulfil its forecasts for 2006 and its financial targets for 2007. Forest and Lundbeck remain confident in the strength and validity of the patent. The trial is expected to commence in March 2006 at the Federal District Court, District of Delaware, USA. The financial forecasts and targets do not reflect any income from a potential IPO of LifeCycle Pharma, in which Lundbeck holds just under 50% of the shares. Similarly, a potential milestone payment of USD 75 million from Merck in connection with the filing of a registration application in the USA for gaboxadol for the treatment of sleep disorders in the USA is not included in the financial targets for 2007. Dividend policy In the years ahead, the company intends to pay dividends of 25-35% of the profit after tax.
